Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20,712, duly authorized and in representation of Larraín Vial Activos S.A. Administradora General de Fondos (the “Administrator”), administrator of the Larraín Vial Harbourvest Co-Investment VI Investment Fund (the “Fund”), I hereby inform you as an essential fact that at the Ordinary and Extraordinary Meetings of Contributors of the Fund held on May 11, 2023, it was agreed as follows:
A) Ordinary Assembly of Contributors:
The annual account of the Fund presented by the Administrator, regarding the management and administration of the Fund and the corresponding Financial Statements were approved;
It was agreed to elect Jorge Zacarías Lapuente, Gonzalo Urzúa González and Sergio Espínola Ortega as members of the Supervisory Committee and set their remuneration at 20 Unidades de Fomento per meeting, with a maximum of 5 meetings;
The expense budget for the Oversight Committee of 200 Unidades de Fomento was approved; and
It was agreed to appoint HLB Surlatina as the Fund’s external audit firm. It was agreed to appoint Analytics Lab and Pacto Capital as independent appraisers or valuers of the Fund.
B) Extraordinary Assembly of Contributors:
It was agreed to amend Article 15 “Series” of Title VI “Series, remuneration, commissions and expenses” of the Fund’s internal regulations;
It was agreed to add a new article 35° BIS to Title IX “Other Relevant Information” of the Fund’s internal regulations; and
Other agreements necessary to implement the decisions of the assembly were adopted.
