Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20,712, duly empowered and on behalf of Larraín Vial Activos S.A. Administradora General de Fondos (the “Administrator”), administrator of the LARRAÍN VIAL HARBOURVEST CO-INVESTMENT V INVESTMENT FUND (the “Fund”), I hereby inform you as an essential fact that at the Ordinary Meeting of Contributors of the Fund held on May 11, 2023, it was agreed as follows:
1. The annual account of the Fund presented by the Administrator, regarding the management and administration of the Fund and the corresponding financial statements were approved;
It was agreed to elect Sergio Espínola Ortega, Carlos Budge Carvallo and Juan Carlos Délano Valenzuela as members of the Supervisory Committee, and their remuneration was set at 15 Unidades de Fomento per meeting, with a maximum of 5 meetings;
The expense budget for the Oversight Committee of 200 Unidades de Fomento was approved;
4. It was agreed to appoint the auditing firm HLB Surlatina Chile as the Fund’s external audit firm;
5. It was agreed to appoint Analytics Lab and BC Advisors as independent appraisers or valuers of the Fund.
