From our consideration,
In accordance with the provisions of section V letter A of the General Standard
number 275 issued by your Commission (formerly Superintendency of Securities and Insurance)
dated January 19, 2010 (the “NCG_N*275”), as amended by the
General Character N*355 dated December 2, 2013, we communicate the following Fact
Relevant in relation to KPMG Auditores Consultores SpA, Unique Tax Role
N*89.907.300-2, registered in the Register of External Audit Companies under number 9,
hereinafter “KPMG Chile” or the “Company”.
PARTNER WITHDRAWAL
The Commission for the Financial Market is informed that, on 28 October
2022, the extraordinary shareholders’ meeting of KPMG Chile agreed to a decrease of
capital and cancellation of all the shares of the shareholders (partners) Mr. Oscar
Casal Rodríguez, Luis Felipe Encina Kukoc-Petraello and Alex Quezada Quezada,
thus materializing its exit previously agreed at the shareholders’ meeting of October 8
of 2021 and reported to this Commission by means of a relevant event dated October 12, 2021
2021.
TRANSFORMATION
After the aforementioned capital reduction, the same extraordinary meeting
of shareholders of the Company unanimously agreed to the transformation of KPMG Chile
from a joint stock company to a limited liability company.
The legal background supporting the facts reported above is
shall forward to this Commission in accordance with the provisions of NCG N*275, once they have
completed the legal formalities that correspond to each case.
