From our consideration:
In accordance with Article 9? and 10? of Law No. 18.045 on the Securities Market
and Chapter N*18-10 of the Commission’s Updated Compilation of Standards
for the Financial Market (“CMF”), I communicate to you, as essential information, the
next:
As reported by essential fact dated November 30, 2021, Itaú Corpbanca in
together with the rest of the banks shareholders of the bank transfer support company “Operadora”
of Tarjetas de Crédito Nexus S.A.” (hereinafter, “Nexus”) reached an agreement with Minsait
Payments Systems Chile S.A. (a subsidiary of the Spanish company Indra Sistemas S.A.) for sale
of 100% of the shares held in Nexus, subject to compliance or waiver of various
suspensive conditions, including the CPM’s authorisation for
disposal of 100% of the shares of Nexus and that the transaction was approved by the Prosecutor’s Office
Nacional Económica (hereinafter, the “Transaction”).
Having fulfilled the conditions for the closing of the Transaction, with this same date has been
carried out the closure of the same and, consequently, Minsait Payments Systems Chile S.A. has
acquired 100% of the shares of Nexus. As of this date, the price of the Transaction amounts to
8,900,682,219 pesos, without prejudice to the price adjustments and additional payments provided for in the contract
of purchase and sale of Nexus shares, in case the established milestones and conditions are met
in it.
As a result of the above, Minsait Payments Systems Chile S.A. has taken control of Nexus and Itaú
Corpbanca together with the rest of the shareholder banks have ceased to be shareholders of Nexus.
