REF.: COMMUNICATES AS AN ESSENTIAL FACT RESOLUTIONS OF THE ORDINARY MEETING
OF SHAREHOLDERS
Dear Sir or Madam:
By means of and in fulfillment
of the provisions of articles 9 and 10, second paragraph, of the Law
18.045, Circular No. 660 dated 22.10.1986, and NCG No. 30 dated
10.11.1989, we are pleased to inform you in the character of
essential fact that at the Ordinary Shareholders’ Meeting held
On April 12, 2022, the following were agreed, among other matters:
to. Approve the Report and the Balance Sheet, Financial Statements
e Report of the External Auditors for the
Financial year from 1 January 2021 to 31 January 2021
December 2021.
b. Approve the distribution of a final dividend of 30% of
net profits for the year, for the total value of
$ 600,995,083, divided into 10,993,332 shares, equivalent to
$54.6695533 per share, to be paid on May 12,
2022. The shareholders of the
Companies that are registered in the Register of
Shareholders at midnight on the fifth business day preceding
the date set for payment.
C. The dividend policy of distributing at least one
30% of the net profits of the respective
Annual balance, which is the minimum sum required by law.
d. Approval of the renewal of the board of directors.
e. The remuneration of the Board of Directors for the year was approved
2022.

Í. The expenses of the Board of Directors were noted during the
Fiscal year 2021.
g. It was agreed to designate for the year 2022 the company of
BDO Audit, as external auditors of the Company.
h. It was assigned to the digital newspaper Financiero, to carry out
Social posts.
