From our consideration,
In accordance with the provisions of Articles 9 and 10, second paragraph, of Law No. 18,045, and in the
General Standard N*30, of the Commission for the Financial Market (“CMF”),
being duly authorized, I communicate to you, as essential information of
Invexans S.A. (the “Company”) and its businesses:
The Company’s subsidiary, Invexans Limited, announced on this date its intention to sell c.4.2
million shares of the French company Nexans S.A. (“Nexans”), through an accelerated
bookbuilding offering” made through a private placement to institutional investors
(the “Offer”). The construction of the book of the Offer will begin immediately and the results of the
Placement will be announced after the close of that process. It is estimated that the final terms of
the Offer is announced no later than April 5 and the liquidation of the shares has
place on the 11th of that month.
Invexans Limited announced that the main objective of the Offer will be to adjust its position in Nexans,
whose value has increased significantly in recent years, and diversify its portfolio of
Investments. If the shares are sold in the Offering, the resources released would be allocated to new
strategic investments and other corporate purposes.
Should the Offer prove successful, Invexans Limited advised that its shareholding in
Nexans added to that of its related Tech Pack S.A. who owns 0.5% in the French, would be reduced
to 19.2%. The Company’s subsidiary also stated that, if it were to sell the shares in the
Offer, would remain a reference shareholder of Nexans, with an active representation in its
directory. To emphasize this commitment, it was given in favor of the Banks (as defined to be
below) a “lock-up period” or obligation not to sell, for a period of 180 days, the shares of
Nexans not included in the Offer, subject to certain common exceptions.
It was noted that the advertisement did not constitute an offer to sell or a solicitation of
purchase of securities, and that the Offer does not constitute, in any country, a public offer.
Likewise, it was recorded in the aforementioned statement that the Goldman Sachs International banks,
Morgan Stanley and Société Générale (collectively the “Banks”) are acting as coordinators
global and joint placement agents of the Offer. It was also reported that Lazard acts as
financial advisor to Invexans Limited.

Since the results of the Offer are not yet known, as established in the Circular
N2988 of that Commission, at this date it is not possible to reasonably estimate its financial effects
on the results of the Company, which will be timely and duly reported to the CMF
and the market in general.
