By virtue of the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20,712, duly empowered and on behalf of Larrain Vial Activos S.A. Administradora General de Fondos (the “Administrator”), administrator of the Larrain Vial México Mezzanine Investment Fund (the “Fund”), I hereby inform you as an essential fact that at the Ordinary Meeting of Contributors of the Fund held on May 9, 2023, the following was agreed upon:
1. The annual account of the Fund presented by the Administrator, regarding the management and administration of the Fund and the corresponding financial statements were approved;
It was agreed to elect Manuel Oneto Faure, René González Rojas and Helmut Franken Monterrios as members of the Supervisory Committee, and their remuneration was set at 20 Unidades de Fomento per meeting, with a maximum of 4 meetings;
The expense budget for the Oversight Committee of 200 Unidades de Fomento was approved;
4. It was agreed to appoint PKF Chile Auditores Consultores Ltda. as the Fund’s external audit firm;
5. It was agreed to appoint Pacto Capital and Analytics Lab as independent appraisers or valuers of the Fund.
