From our consideration:
Pursuant to the provisions of Article 9″ and the second paragraph of Article 10″ of the
Securities Market Law, and in accordance with General Standard No. 30,
being duly empowered as general manager of Larraín Vial
Activos S.A. Administradora General de Fondos (the Administrator), hereby
I inform you as an essential fact of Fondo de Inversión Larraín Vial México
Mezzanine (the Fund) as follows:
By virtue of the provisions of numeral TWO of Title X of the Internal Regulations of the
Fund, the Administrator was entitled to carry out capital reductions
of this fund without the need for any agreement of an extraordinary assembly of
contributors, for up to 100% of the subscribed and paid contributions of the Fund, or
value of the contributions of the Fund, in order to return to all the Contributors the part
proportional of your investment in the Fund.
Therefore, in the board meeting of its Administrator, held on May 18
of 2022, a capital decrease was agreed, through the decrease of the quota value
of the Fund, for the total amount of $2,124,499,498, corresponding to Series A
amount of $895,511,009, for Series B an amount of $130,953,950 and Series | one
Amount of $1,098,034,539.
On the other hand, it was agreed at the same board meeting the distribution of a
provisional dividend for the total amount of Ch$359,706,417, corresponding to the Series
To an amount of $151,622,091, for Series B an amount of $22,172,270 and Series | one
amount of $185,912,057 charged to the Fund’s 2022 profits.
Likewise, the payment of the decrease in capital and dividend indicated is
will be held from May 25, 2022 at the offices of the Company
Administrator, located at Avenida El Bosque Norte N* 0177, 3rd floor, Las Condes,
Santiago, from Monday to Friday from 9:00 a.m. to 6:00 p.m., to Contributors who are
registered in the respective registry on the 5th business day prior to the date of payment, on a pro rata basis
of the number of quotas held by them at that date.
