LARRAÍN VIAL MEXICO MEZZANINE INVESTMENT FUND

By virtue of the provisions of article 9 “and the second paragraph of article 10 of the
Securities Market Law, in connection with Article 18″ of Law No. 20,712,
duly empowered and on behalf of Larraín Vial Activos S.A. Administradora
General de Fondos (the “Administrator”), the management company of the Fondo de Fondos de
Inversión Larraín Vial México Mezzanine (the “Fund”), I come to communicate to you
as an essential fact that in the Ordinary and Extraordinary Assemblies of Contributors of the
Fund held on May 13, 2022, the following was agreed:
A) Ordinary Assembly of Contributors:
1. The annual account of the Fund presented by the Administrator was approved, relating to the
management and administration of the Fund and related financial statements;
2. It was agreed to elect as members of the Supervisory Committee Mr. Manuel Oneto
Faure, Helmut Franken Monterrios and René González Rojas and their remuneration was fixed
in 20 Development Units per session, with a maximum of 4 sessions;
3. The expenditure budget for the Supervisory Committee of $30,000,000 was approved;
4. It was agreed to appoint PKF Chile as the Fund’s external audit firm
Auditores Consultores Ltda.; and
5. It was agreed to appoint as the Fund’s independent appraisers or valuers Analytics
Lab and Pacto Capital.

B) Extraordinary Assembly of Contributors:
1. It was agreed to modify numeral 2.6 of number TWO “SUPERVISORY COMMITTEE”
of Title VIIl “RULES OF CORPORATE GOVERNANCE” of the internal regulations of the
Bottom; and
2. It was agreed to adopt such other agreements as may be necessary to implement the
Decisions of the Assembly.
