From our consideration:
Pursuant to the provisions of Article 9″ and the second paragraph of Article 10″ of the
Securities Market Law, and in accordance with General Standard No. 30,
being duly empowered as general manager of Larraín Vial
Activos S.A. Administradora General de Fondos (the Administrator), hereby
I inform you as an essential fact of Fondo de Inversión Larraín Vial México
Mezzanine (the Fund) as follows:
At the Extraordinary Assembly of Contributors of the Fund dated November 24,
2021, a capital decrease was agreed for up to 100% of the subscribed quotas and
paid from the Fund. At that meeting, the Fund’s contributors also agreed that
the aforementioned capital reduction would materialize in one or more partialities,
by decreasing the number of Fund Quotas or by decreasing
of the value of each of the Fund Quotas, as determined by the Administrator
Therefore, in the board meeting of its Administrator, held on April 22,
2022, a capital decrease was agreed, by decreasing the share value of the
Fund, for the total amount of $633,024,347, corresponding to Series A an amount
of $266,957,944, for Series B an amount of $39,022,984 and Series | an amount of
$327,043,419.
On the other hand, it was agreed at the same board meeting the distribution of a
provisional dividend for the total amount of Ch$391,485,250, corresponding to the Series
A total of $165,096,489, Series B an amount of $24,133,232 and Series | one
amount of $202,255,529 charged to the Fund’s 2022 profits.
Likewise, the payment of the decrease in capital and dividend indicated is
will be held from April 28, 2022 at the offices of the Company
Administrator, located at Avenida El Bosque Norte N” 0177, 3rd floor, Las Condes,
Santiago, from Monday to Friday from 9:00 a.m. to 6:00 p.m., to Contributors who are
registered in the respective registry on the 5th business day prior to the date of payment, on a pro rata basis
of the number of quotas held by them at that date.
