Ref. Notification of the Ordinary and Extraordinary Meeting of Contributors
HMC CIP VI Investment Fund.
Dear Sir or Madam,
Hereby and in compliance with the provisions of Article 18 of Law No. 20,712 and Articles 9 and 10 of Law No. 18,045 of the Securities Market Law, we hereby communicate as an ESSENTIAL FACT of the “HMC CIP VI Investment Fund” (hereinafter, the “Fund”), the following:
1. At the Ordinary Meeting of Contributors of the Fund held on May 17 of this year, the following matters, among others, were approved:
(i) The Fund’s annual account and financial statements for the year ended December 31, 2022;
(ii) Ricardo Budinich Diez, Paul Mazoyer Rabié and Andrés Kern Bascuñán were elected as members of the Fund’s Supervisory Committee for the 2023 fiscal year, establishing their budget, expenses and remuneration;
(iii) Surlatina was appointed as external audit firm for fiscal year 2023; and (iv) Surlatina was appointed as external audit firm for fiscal year 2023.
(iv) The firm Asesorías M31 y Sitka was appointed as independent appraiser or valuator to value the Fund’s investments for fiscal year 2023.
2. At the Extraordinary Meeting of Contributors of the Fund, also held on May 17 of this year, it was approved to reduce the Fund’s capital by up to 100% of the subscribed and paid-in shares and/or 100% of their quota value, in accordance with the terms of the internal regulations.
