Ref. Communicates summons to Ordinary and Extraordinary Assembly of Contributors
Fondo de Inversión Falcom GTCR Private Equity XII!.
Dear Sir or Madam,
By means of the present and in compliance with the provisions of article 18 of Law N* 20,712
and in Articles 9 and 10 of Law No. 18,045 on the Securities Market, we communicate in
of ESSENTIAL FACT, the following:
By agreement of Falcom Administradora General de Fondos S.A., an Ordinary Assembly is summoned and
Extraordinary Contributors of the “Falcom GTCR Private Equity XI Investment Fund!” (hereinafter,
the “Fund”), as follows:
(i) To the Ordinary Assembly, to be held on first call, on May 15, 2023, at
3:00 p.m., at the offices located at Avenida El Golf 82, 6th floor, Las Condes commune,
Santiago, and in second citation to be held in the same place on May 17, 2023
at 3:00 p.m., in order to deal with matters of their knowledge.
(ii) To the Extraordinary Assembly, to be held on first call, on May 15, 2023,
immediately following the Ordinary Assembly, in the offices located at
Avenida El Golf 82, 6th floor, commune of Las Condes, Santiago, and in second citation to
be held in the same place on May 17, 2023 at 3:30 p.m., in order to
(a) Amend the Fund’s rules of procedure with respect to
the following subjects: (i) Liquidity Policy; (ii) Regulation relating to the collection of
fixed remuneration; (1¡¡) Regulation concerning promises to subscribe to quotas; and (iv)
Regulation relating to the Fund’s Supervisory Committee; (b) Adopt such other agreements as
are necessary to implement the decisions of the Assembly, including the setting of the
consolidated text of the Fund’s rules of procedure.
They may participate in the Assemblies, with the right to speak and vote, the contributors that appear
registered in the Fund’s Contributors Register at midnight on the previous fifth business day
to the date on which the respective Assembly is to be held. Additionally, and as
provided for in General Rule No. 435 and Circular No. 1141, both of the
Commission for the Financial Market, remote assistance to these will be allowed, for which the
Board of Directors of the Administrator agreed and approved the use of technological means and
Procedures necessary to prove the identity of the persons participating
remotely in the assemblies or of their power, as the case may be, and their voting, which will be
timely communicated in the relevant summons.
