INVESTMENT FUND BARING ASIA PRIVATE EQUITY FUND VII
REF: COMMUNICATES AGREEMENTS OF THE ORDINARY ASSEMBLY OF CONTRIBUTORS
From our consideration:
By virtue of the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in relation to Article 18 of Law No. 20,712, being duly authorized, I hereby inform you as an essential fact of INVESTMENT FUND BARING ASIA PRIVATE EQUITY FUND VII (the “Fund”) that, On May 23, 2023, the Assembly of Fund Contributors was held, in which the following agreements were adopted, among others:
The annual account of the Fund’s management and administration and its Financial Statements were approved;
2. It was noted that, considering the results of the Fund reported at the meeting, the Fund did not have Net Profits Received in the year ended December 31, 2022 that could be distributed as dividends. Likewise, it was reported that the provisional dividends that were distributed during the year 2022 for a total amount of Ch$897,905 were charged to the Net Profits Received from previous years.
3. The annual account of the Audit Committee was approved;
4. The members of the Oversight Committee were elected and were composed of the following persons:
i. Hernán Guerrero Hinojosa;
ii. Juan Carlos Délano Valenzuela; and
iii. José Cox Alcaíno.
5. It was agreed to set a remuneration for the members of the Supervisory Committee of 20 gross Development Units for each session they attend, with a maximum limit of 5 paid sessions per year until the next ordinary assembly of contributors;
6. It was approved to set a budget for the Fund’s Supervisory Committee until the next ordinary meeting of contributors of 200 Development Units;
7. PKF Chile Auditores was appointed as the Fund’s external audit firm for the year 2023; and
8. It was agreed to appoint Pacto Capital as independent consultants for the valuation of the Fund’s investments in 2023.
