INVESTMENT FUND BARING ASIA PRIVATE EQUITY FUND VII
REF: COMMUNICATES AGREEMENTS OF THE ORDINARY ASSEMBLY OF CONTRIBUTORS
From our consideration:
By virtue of the provisions of article 9* and the second paragraph of article 10* of the Law
N” 18.045, in relation to Article 18 of Law N*20.712, being duly satisfied
authorized, I hereby inform you as an essential fact of INVESTMENT FUND
BARING ASIA PRIVATE EQUITY FUND VII (the “Fund”), which as of May 17, 2022
held the Ordinary Assembly of Fund Contributors, in which they were adopted, among
others, the agreements detailed below:
1. The annual account of the Fund relating to its management and administration and the
Financial Statements thereof;
2. The distribution of final dividends charged to Profits was recorded
Net Received corresponding to the year ended December 31, 2021, the
which would be paid in full from the provisional dividends distributed
during the year 2021.
3. The annual account of the Audit Committee was approved;
4. The members of the Oversight Committee were elected, which was made up of the following members
following persons:
(a) Joseph Cox;
(b) Hernán Guerrero Hinojosa; and
(c) Juan Carlos Délano.

ASSETS
It was agreed to fix a remuneration for the members of the Supervisory Committee of 20
Gross Development Units for each session they attend, with a maximum limit of
5 sessions per year;
It was approved to establish a budget for the Audit Committee of the Fund for the year
2022 of 200 Development Units;
The Fund was designated as the Fund’s external audit firm for the financial year 2022 to the
company HLB Surlatina; and
It was agreed to appoint as independent consultants for the valorization of the
investments of the Fund in the financial year 2022 to BDO.
