Dear Sir or Madam:
The undersigned, in his capacity as General Manager of the public limited company
called INVERSIONES NUTRAVALOR S.A., both domiciled in Santiago,
Avenida El Golf N*%150, 3rd floor, Comuna de Las Condes, company registered in the
Registry of Securities with the N*%56, RUT N*91.643.000-0, duly authorized by the
Directory, communicates to you the following essential information regarding the
Company, its businesses, its public offering securities or the offering thereof, in
under the provisions of article 9 and paragraph 2 of article 10%, both of the Law
N%18.045:
Today our indirect subsidiary Corpesca do Brasil Empreendimentos e
Participacoes Limitada, (“Corpesca do Brasil”), has agreed jointly with the
other shareholders of Fasa Group (“Fasa”), a company incorporated in Brazil, the sale
of all the shares of the latter, to Rousselot Gelatinas do Brasil Ltda.,
company incorporated in Brazil and subsidiary of Darling Ingredients Inc., company
incorporated in the United States of America.
The total sale price was agreed at approximately R$2.8 billion R$
Brazilians (US$560 million calculated at today’s exchange rate) value subject to
Post-closing adjustments, plus a contingent payment based on results
futures. It is noted that the indirect subsidiary Corpesca do Brasil owns the
24% of Fasa’s shares.
The closing of the transaction is subject to some suspensive, normal conditions
for these cases, and their materialization is estimated by the end of this year 2022.
Finally, I inform you that, if it materializes, the transaction will produce in
Inversiones Nutravalor S.A. a financial profit that cannot be estimated at the
date, and should be determined once this process is concluded.
