Dear Sir or Madam,
By means of the provisions and pursuant to the provisions of sections 9* and 10″ of the section of the Act
N*18.045, and duly authorized for this purpose, I communicate to you, as an essential fact
with respect to INVERSIONES CONFUTURO S.A. (the “Company”), its businesses, its securities
ofpublic offer or of the offer thereof, the following:
In a meeting held on April 6, 2022, the Board of Directors of the Company agreed, by the
unanimity of its members, adopt the following general policy of habituality, in accordance with
what is authorized by letter b) of the final paragraph of Article 147 of Law No. 18,046:
“GENERAL POLICY OF REGULARITY OF INVERSIONES CONFUTURO S.A.
FOR RELATED PARTY TRANSACTIONS
The objective of this Policy is to determine the negotiations, acts, contracts
or operations in which INVERSIONES CONFUTURO S.A. must intervene with the
Related persons or entities referred to in the first paragraph of art. 146 of the
Law 18.046, without the need to comply with the requirements and procedures
Provided in numerals 1 to 7 of article 147 of the aforementioned legal body.
The operations indicated below shall be considered as
ordinary business operations of the Company’s business and, in that capacity, may be executed without
Need to comply with the requirements and procedures set out in the numbers
1) to 7) of Article 147 of Law No. 18,046, insofar as they are intended to contribute
to the social interest and adjust, in price, terms and conditions, to those that
prevail in the market at the time of their approval:
1. Those that the Company celebrates in the exercise of the rights it has as a partner
O shareholder of other companies, such as attendance with voice and vote to meetings of
shareholders or shareholders’ meetings, company formations, modifications,
transformations, mergers, divisions, decreases or increases in capital,
dissolution or liquidation of companies, acquisitions, subscriptions OR
disposals of shares or social rights, and any other type of reorganization
corporate, to the extent that the related party to such transactions is a subsidiary or
affiliated with the Society.
The conclusion, modification, extension or termination of credit agreements and the
Carrying out all types of financial transactions, including account transactions
Commercial current and/or financial loans.
The operations described above shall only be understood to fall within this
Regularity policy to the extent that its amount does not exceed 10% of the assets of
the Society.
The entry into force of this Policy will be from this date and will be maintained
in force until the Board of Directors agrees to its modification in accordance with the law.
This regularity policy for transactions with related parties
shall be available to shareholders at the registered offices and, if the
Society had a website, would remain published on it.”
