From our consideration:
In compliance with the provisions of articles 9? and 10% of Law No. 18,045 and in the
General Rule N*30 of the Commission for the Financial Market, by the
I hereby inform you, as an Essential Fact, of the following:
a) Yesterday the Company’s Ordinary Shareholders’ Meeting was held in
which was approved the Report, the Financial Statements for the Fiscal Year 2021, and the report
external auditors; the results of the year, dividend policy, and distribution of
a definitive dividend; the remuneration of the Board of Directors; the designation of the EY firm as
external auditors by 2022; and the designation of the Diario Financiero as
newspaper to make the publication of notices to Shareholders’ Meetings.
At the same Meeting it was agreed to distribute the final dividend N*%5 amounting to US$
US$0.000066 per share, in pesos, using the “observed dollar” exchange rate
corresponding to yesterday, which is equivalent to $0.053742 pesos per share. The
Dividend will be paid as of April 27, 2022.
In relation to the above, and in accordance with Commission Circular No. 660 for the
Financial Market, attached we send Form N* 1 for the distribution of the dividend
final approved by the Board, which indicates the form of payment thereof.
A copy of the minutes of the ordinary meeting shall be sent in due course to the Commission for the
Financial market.
