Liquidation.
From our consideration,
Duly authorized for this purpose, I inform you, in accordance with the provisions of article 92
and second paragraph of article 10? of Law No. 18.045 on the Securities Market, the following
essential fact of Inmobiliaria Frontera Country Club S.A., in Liquidation (the “Company”):
On April 21, 2023, the Ordinary Shareholders’ Meeting of the Company was held,
in which the following agreements were adopted:
1.
The report, balance sheet and other financial statements for the year ended on
31 December 2022, and the report of the external auditors for
that exercise.
It was agreed not to distribute dividends since the Company did not make a profit in the
Year ended December 31, 2022.
The shareholders were informed about the expenses of the Liquidation Commission of the
Company during the year 2022.
Consaudit International Consultores Limitada was appointed as the auditors
external for the financial year 2023.
Shareholders were informed that, during the year ended December 31,
2022, no related party transactions were made.
It was agreed to maintain the Company’s dividend policy.
7. It was agreed to make the social publications in the electronic newspaper “El Mostrador”.
