From our consideration:
According to the provisions of articles 9? and 10 of Law No. 18,045 on the Securities Market
and to the provisions of General Standard No. 30 of the Commission for the Financial Market,
duly authorized to do so by the Board of Directors of Ingevec S.A. (the “Company”), we come in
communicate to you, as an Essential Fact, that at the Ordinary Shareholders’ Meeting of the Company
held today, it was agreed, among other matters, the following:

To appoint as directors of the Company Mr. Enrique Besa Jocelyn-Holt, Mr. José Antonio
Bustamante Bezanilla, Francisco Vial Bezanilla, Ricardo Balocchi Huerta, Paola Assael
Montaldo, Darío Amenábar Zegers and Roberto Perales González. It is made present that the lady
Paola Assael Montaldo and Mr. Darío Amenábar Zegers and Mr. Roberto Perales González, have
been elected independent directors of the Company, in accordance with the provisions of article 50
bis of Law No. 18.046 on Corporations.
Approve the distribution of the total amount of $4,647,096,000, as a minimum dividend
mandatory and additional, which represents approximately 50% of total net income
consolidated obtained by Ingevec S.A. during the year 2021, that is, the approximate sum of
$4.30287 per share, to be paid to the shareholders of the Company, through the Central Depository
of Valores S.A., as of May 5, 2022.
Designate the Pulso newspaper so that social publications are made during the year
2022, as well as any information that the Company must communicate to the public.
Appoint KPMG Auditores Consultores Limitada as an external audit firm of the
Company for the year 2022 and Feller-Rate Clasificadora de Riesgo Limitada and International
Credit Rating Company Risk Rating Limited as risk rating companies
for the financial year 2022.
