From our consideration:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Securities Market and General Standard No. 30 of the Financial Market Commission, we inform you as an “Essential Fact” that, at the Board Meeting of INSTITUTO DE DIAGNÓSTICO S.A., held on this same date, It was agreed as follows:
1) To elect Mr. Juan Antonio Guzmán Molinari as Chairman of the Board of Directors, and Mr. Alejandro Pérez Rodríguez as Vice President; and
2) To take cognizance of and accept the integration into the Directors’ Committee of the only Independent Director Mrs. Isabel Margarita Bravo Collao, who in that capacity and in the same Session, in accordance with the provisions of Art. 50 bis of Law No. 18.046, and Circular No. 1.956 dated December 22, 2009 of the Commission for the Financial Market, appointed as members of the Directors’ Committee Mrs. Carolina Pérez-Íñigo González and Mr. Andrés Serra Cambiaso, thus constituting the aforementioned Committee.
