Under Article 18? of Law 20.712 on Administration
of Third Party Funds and Individual Portfolios, Article 9 and in the second paragraph of the
Article 10? of the Securities Market Law, and in accordance with the Character Norm
General N*30 of this Commission, being duly empowered, through the
I hereby communicate to you the following information as an Essential Fact with respect to
of the One Union Center Independence Investment Fund (the “Fund”), administered by
Independencia Internacional AGF S.A. (the “Administrator”).
On September 14, 2021, the company “Arep One Union Center LLC”, the only
investment of the Fund and in which it participates indirectly with 55.44%, whose only
Underlying asset is the building located at 810 1st Street NE, Washington DC (the
“Immovable”) was unable to meet the obligation to pay interest on the
credit contracted with Granite Point Mortgage Trust (the “Credit” and the “Creditor”,
respectively), a situation that gave the Creditor the right to enforce the security
contemplated in the Credit, which consists of taking ownership of the Property (the
“Warranty”).
On March 21, 2022, the Administrator was informed that the Creditor assigned,
dated March 18, 2022, the Credit to “O-SB One Union Finance LLC”, a company
incorporated under the laws of Delaware, United States (the “New Creditor”), the
that, accordingly, it assumed all the rights and obligations of the Creditor in relation to
the Credit, including the power to execute the Guarantee and to take the Property, according to

Administrator.
In accordance with the foregoing, on October 18, 2022, the Administrator was informed by
its local partner AREP, that the New Creditor would have exercised its rights, executing the
guarantee and transferring the Property to a third party, all of which materialized on 14
October 2022.
Consequently and taken into account that Arep One Union Center LLC no longer maintains obligations
under the Credit or other liabilities or assets, it will be liquidated, in conjunction with the

liquidation of the rest of the companies that are part of the structure, and then cite
Extraordinary Assembly of Fund Contributors in which its final settlement is agreed.
