By means of this and by virtue of the provisions of article 9 and second paragraph of article 10 of Law 18,045, and being duly authorized to that effect, I inform you, as an essential fact, with respect to INVERSIONES LA CONSTRUCCIÓN S.A. (hereinafter, “ILC” or the “Company”), of its businesses, its public offering securities or the offer thereof, The following:
On this date, our subsidiary Banco Internacional S.A. (the “Bank”) entered into an agreement with the current shareholders of Autofin S.A., namely the Private Investment Fund Frontal Trust Autofin, and the companies Inversiones y Rentas Bilbao S.A., Inversiones Torca Limitada, Flomanju SpA, Frontal Trust S.A., Inversiones F y M Dos SpA, and Inversiones Norfolk Limitada, under which the Bank may acquire 51% of the shares of Autofin S.A. (the “Operation”).
The closing of the Operation is subject to contractual agreements and obtaining the corresponding approvals from the National Economic Prosecutor’s Office and your Commission. Thus, to date it is not possible to determine the financial effects that the Operation will have for the Company.
It is noted that until this date all information related to the Operation was kept confidential, by virtue of the confidential essential facts sent by the Company to your Committee on April 27 and July 4 of this year.
