From our consideration:
By means of the present and by virtue of the provisions of article 9 and second paragraph of article
10° of Law 18,045, and being duly empowered by the board of directors of INVERSIONES LA
CONSTRUCCIÓN S.A. (the “Company”), I inform you, as an essential fact with respect to
the Company, the following:
With this date, our affiliate Habitat Andina S.A., entered into a contract of sale
of shares with NEVASACORP S.A., by virtue of which it acquired 37,500 shares of the company
NEVASA ADMINISTRADORA GENERAL DE FONDOS S.A. (the “Administrator”), representing
99.997% of the shareholding of said company, so that Habitat Andina S.A. passed
to be the controller of the Administrator.
The remaining share of the Administrator was acquired by our affiliated company Administradora
Americana de Inversiones S.A.
The price paid for the aforementioned shares amounted to the sum of US$2,000,000 (two million
of dollars) plus the sum of $500,000,000 (five hundred million pesos).
