In accordance with the provisions of Article 9″ and the second paragraph
of Article 10* of Law No. 18,045, and the provisions of the General Rule
n? 30, duly empowered by the Board of Directors, reported to the Commission for the Market
Financial, as ESSENTIAL FACT of Hortifrut S.A. (*Hortifrut”), Registration
of Values n* 1096, the following:
Hortifrut is the indirect owner of 100% of the Peruvian company HFE Berries
Perú S.A.C. (“Berries Perú–Olmos”), owner of a property in
approximately 500 hectares, of which approximately 400 hectares
are planted, located in the district of Olmos, department of
Lambayeque, in northern Peru.
o 50% is part of Hortifrut’s original investment in that country, and the other
50% consolidated it by acquiring 100% of the Spanish company Atlantic
Blue, S.L. (as reported by Essential Fact dated 18
October 2021).
Through its subsidiaries in Chile and Spain, Hortifrut has agreed to sell 75%
from Berries Perú-Olmos to a subsidiary of the Public Sector Pension Investment Board
(PSP Investments), one of the most important pension fund managers
Canada (www.investpsp.com). The transaction price is
approximately US$88 million, which will be paid: (i) 40%, as soon as the
sellers conclude investment accreditation procedures in Peru;
and (ii) 60% on December 30, 2022.

e Subject to adjustments at year-end, Hortifrut estimates that
will recognize a profit of US$37 million from this transaction.
