Ref.: Essential Fact -Corporate Reorganization.
Dear Sir or Madam:
In accordance with the provisions of article 9%, in subsection
second of article 10% of the Securities Market Law, and in the General Rule
number 30, of your Commission, I report as an Essential Fact that in Board
Extraordinary Shareholders’ Meeting of Hortifrut S.A. (the “Company”) held on the same date
(the “Board”), was approved –in accordance with the provisions of article 67 number 9) of the Law
on Corporations — a corporate reorganization that involves the transfer of
local and international subsidiaries of the Company to one or more companies incorporated in Ireland,
maintaining the Company’s character as a parent company that will concentrate the indirect ownership of the
operations and the final destination of the flows, all in the terms approved by the Meeting.
As of this date, it is not possible to quantify the financial effects
that the corporate reorganization agreement may have on the assets, liabilities or results
of the Company.
