Ref. Communicates summons to Extraordinary and Ordinary Assembly of Contributors
HMC Pearl Diver V Investment Fund – In Liquidation.
Dear Sir or Madam,
By means of the present and in compliance with the provisions of article 18 of Law N*
20.712 and the provisions of Articles 9 and 10 of Law No. 18.045 on the Securities Market,
we communicate as an ESSENTIAL FACT, the following:
By agreement of the board of directors of HMC S.A. Administradora General de Fondos, the following were summoned.
Extraordinary and Ordinary Assembly of Contributors of the “HMC Pearl Investment Fund”
Diver V- In Liquidation” (hereinafter, the “Fund”), as follows:
1. Ordinary Assembly of Contributors:
In first citation, to be held on May 18, 2023, at 9:30 a.m., in the offices
located in Av. Américo Vespucio Norte N* 2500, oficina 401, commune of Vitacura,
Santiago, and in second summons on the same day and place at 10:10 am, in order to (i) take
knowledge of the dissolution of the Fund; (ii) appoint the liquidator of the Fund, fixing its
powers, duties and remuneration; and (111) the adoption of such other agreements as
necessary to implement the decisions of the Assembly.
2. Extraordinary Assembly of Contributors:
In first citation, to be held on May 18, 2023, at 9:50 a.m., in the offices
located in Av. Américo Vespucio Norte N* 2500, oficina 401, commune of Vitacura,
Santiago, and in second summons the same day and place, at 10:30 am in order to treat
matters of their knowledge.
It is noted that, in accordance with the provisions of General Standard No. 435 and the
Circular Letter No. 1141, both of the Commission for the Financial Market will allow the
Remote assistance to assemblies. In accordance with the above, the use was agreed and approved.
of technological means and procedures necessary to prove the identity of the
persons participating remotely in them or in their power, as the case may be, and their voting,
which will be duly communicated in the relevant summons.
The qualification of powers, if applicable, shall be made on the same day as the respective meeting,
at the place where it is to be held and at the time it is to begin.
