In accordance with the provisions of article 9 and second paragraph of article 10 of Law N*
18.045 on the Securities Market, and in accordance with the provisions of the Securities Market Standard
General Character N*30, duly authorized and on behalf of Hipermare S.A. (the
“Company”) I have come to communicate to you the following information that at the discretion of the
Company is an essential or relevant fact with respect to the company and its
values:
At the Company’s Board of Directors meeting held on May 6, 2022,
took note of the report of the independent evaluator appointed by the Board,
all in accordance with the provisions of the N*S of art. 147 of Law 18.046 to inform the
shareholders in respect of the following related party transaction, which consists of the
lease or temporary assignment to Hipermarc of the distribution business and
Marketing of light motor vehicles and motorcycles for the Chilean market
developed under the Cidef brand in replacement of related companies,
including technical services, guarantees and spare parts, on which shareholders shall
