Ref.: Resolutions at the Ordinary Shareholders’ Meeting
From our consideration:
Duly authorized by the Ordinary Shareholders’ Meeting of the company Help
Seguros de Vida S.A. (the “Company”), in accordance with the provisions of article 10 of the
Law N*18.045 of Securities Market and the provisions of Circular N” 991, we communicate
as an Essential Fact that, at the Company’s Ordinary Shareholders’ Meeting
Held on March 17, 2023, at 10:00 a.m., at the offices of the Company located
in Av. Apoquindo 3.600, 12th floor, Las Condes, Santiago, it was agreed, among other matters, the
next:
1. Approve the report, balance sheet, financial statements and report of external auditors
corresponding to the year ended December 31, 2022.
2. Do not distribute dividends against the year ended December 31, 2022.
3. To appoint Messrs. PriceWaterhouseCoopers Consultores Auditores SpA as
External audit firm for the review of the financial statements for the year
2023.
4. Designate as risk classifiers the companies Feller-Rate Classifier of
Feller Rate and International Credit Rating Company
Limited Risk Classifier (“ICR Chile”) for the year 2023.
5. Designate the electronic newspaper “El Líbero” to make legal publications.
