Ref.: Communicates expiration of the legal term to exercise the right to withdraw from HDI
SEGUROS S.A. that indicates.
From our consideration:
By virtue of the present, being duly empowered by the Board of Directors of HDI SEGUROS
S.A. (the “Company”), and in accordance with the provisions of the current regulations of this Commission,
I communicate to you as an Essential Fact, the following:
Following the holding of the Company’s Extraordinary Shareholders’ Meeting on 28
March of the current year, in which the merger by incorporation of HDI SEGUROS DE was approved
GARANTÍA Y CRÉDITO S.A. in HDI SEGUROS S.A., originated for dissident shareholders
the right to withdraw from the Company in accordance with the provisions of Article 69 of the Law
N*18.046 on Corporations.
On March 29, 2023, by means of a notice published in the electronic newspaper El Líbero,
the shareholders of the Company were informed of the foregoing circumstance, thus giving
compliance with article 126 of the Regulations of Corporations.
That, as provided in Article 127 of said Regulation, on April 27, 2023, it has
the legal period of 30 days has expired without any shareholder having expressed its intention to
