Resolutions adopted at the Ordinary Shareholders’ Meeting
Dear Sir or Madam:
I hereby and duly authorized, I come to inform that at the Ordinary Meeting of
Shareholders of HDI Seguros S.A. held on March 28, 2023, it was agreed, among others
Subjects the following:
. Approve the report, balance sheet, financial statements and report of external auditors
corresponding to the year ended December 31, 2022.
. Approve the payment of a mandatory minimum final dividend N*%66 of $4.88321 (four comma
eight eight three two one pesos) per share in the amount of $5,926,348,721, charged and
equivalent to approximately 30% of the profits for the year as of December 31, 2022.
It was also agreed that the dividend N*66 indicated will be paid in cash on April 20,
2023 at the Company’s offices, located at Av. Manquehue Norte 160, 19th Floor, Las
Condes, Santiago.
Shareholders who hold shares, registered in the
Registration of Shareholders at midnight on the fifth business day prior to the date established for
its payment, namely on April 14, 2023.
Attached is the form as instructed in Circular 660 and a copy of the notice published with this
same date in the Electronic Journal El Líbero www.ellibero.cl.
. To appoint Messrs. PriceWaterhouseCoopers Consultores Auditores SpA as
External audit for the review of the financial statements for the year 2023.
. Designate the electronic newspaper El Líbero www.ellibero.cl to make the summons to the Boards
of shareholders and other notices determined by law or of social interest.
