shares to AFP shareholders

From our consideration:
By means of the present, in compliance with the provisions of article 9 and subsection
second of Article 10 of Law No. 18,045 and being duly empowered to that effect, by
I hereby communicate to you, as an essential fact with respect to ADMINISTRATOR
DE FONDOS DE PENSIONES HABITAT S.A., hereinafter “Habitat”, as well as its
businesses, their public offering securities or the offering thereof, the following:
ADMINISTRADORA AMERICANA DE INVERSIONES S.A. (“AAISA”) has informed us that
on May 25, the Commission for the Financial Market registered that
company, under number 1.202, in the Securities Registry kept by that Agency, as
also to the 1,000,000,000 shares in which its share capital is divided.
It should be noted that AAISA was constituted from the division of HABITAT agreed at the Board.
Extraordinary Shareholders’ Meeting held on September 23, 2021; So what
In accordance with the agreements adopted on that occasion, its actions were filed, with
reason for the division, directly in the shareholders of AFP HABITAT S.A., free of charge
any for them and released from all payment, in the proportion of one share of AAISA for
each share of AFP HABITAT S.A. that each one has registered in the Register of
Shareholders of the Company at midnight on the fifth business day preceding the date of
Distribution of these shares. The distribution and delivery of the shares of
ADMINISTRADORA AMERICANA DE INVERSIONES S.A. was to be carried out at
said shareholders of HABITAT within 30 days of the date of
registration of AAISA and its shares in the Securities Registry of the CMF, on the date
in which its Board of Directors determined it, which had to be informed to the shareholders of AFP
HABITAT S.A. by publishing, at least once, a prominent notice in
the newspaper “El Mercurio” of Santiago.
In consideration of the above, we have been informed that the Board of Directors of ADMINISTRADORA
AMERICANA DE INVERSIONES S.A. agreed to distribute, as of June 20, 2022, the
1,000,000,000 shares in which its share capital is divided among the shareholders of
ADMINISTRADORA DE FONDOS DE PENSIONES HABITAT S.A., in proportion to the
shareholding that each has in the latter company at midnight of
fifth business day preceding that date, in the proportion of one AAISA share for each
shares held by AFP Habitat S.A. at that time.
