Ref. ESSENTIAL FACT
Madam President:
ADMINISTRADORA DE FONDOS DE PENSIONES HABITAT S.A. (“Habitat”), a company registered under No. 51 in the Securities Registry kept by the Financial Market Commission, by virtue of the provisions of Article 9 and second paragraph of Article 10 of Law 18,045 and General Rule No. 30 of that Commission, hereby communicates, as an Essential Fact with respect to the Company, its businesses, its public offering securities or the offer thereof, the following:
With this date, Administradora Americana de Inversiones S.A. (“AAISA”) has informed us that its subsidiary Habitat Andina S.A. entered into a share purchase agreement with NEVASACORP S.A., under which it acquired 37,500 shares of the company NEVASA ADMINISTRADORA GENERAL DE FONDOS S.A. (the “Administrator”), representing 99.997% of the shareholding of said company, so that Habitat Andina S.A. -and therefore AAISA- became controllers of the Administrator. The remaining Share of the Administrator was acquired directly by AAISA.
The price paid for the aforementioned shares of the Administrator amounted to the sum of US$2,000,000 (two million dollars) plus the sum of $500,000,000 (five hundred million pesos).
The aforementioned information is provided to the public because both AAISA and the shares in which its share capital is divided, are still in the process of registration in the Securities Registry of that Commission for the Financial Market and, therefore, the condition established to deliver the expressed shares to those who are shareholders of Administradora de Fondos de Pensiones Habitat S.A. has not been met. in accordance with the resolutions adopted at Habitat’s Extraordinary Shareholders’ Meeting held on September 23, 2021; therefore, the reported acquisition affects the businesses and securities of Administradora Americana de Inversiones S.A. whose shares must be distributed among the shareholders of Habitat.
