Shareholders
Dear Sir or Madam:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Market of
Securities, as well as the instructions of the Commission for the Financial Market, in the Section
ll of the General Standard N*30 and in Circular N*1.737, I inform you, as
of Essential Fact the following:
On March 29, 2023, the Board of Directors of Gtd Grupo Teleductos S.A. (the
“Company”) agreed to call an Ordinary Shareholders’ Meeting to be held on April 28
of 2023, at 12:00 hours, at the offices of the Company located on Calle Moneda
N*920, Santiago, in order to submit to the consideration of the shareholders
The following subjects:
(a) Review of the social situation and the reports of the External Auditors; know
and to decide on the Annual Report and Financial Statements of the Company,
corresponding to the year ended 31 December 2022;
b) Distribution of profits or losses for the year ended 31
December 2022;
c) Dividend Policy;
d) Determination of the remuneration of the Board of Directors of the Company for the year
annual 2023;
e) Appointment of External Auditors for the financial year 2023;
f Designation of newspaper for the publication of notices;
9) To account for operations referred to in Arts. 146 et seq. of the Act
N18.046; and
h) Other matters of social interest within the competence of the Board, in accordance with the law and
the bylaws.
Those shareholders who are registered in the
Registration of Shareholders five working days in advance of its date of celebration.
The qualification of powers, if applicable, will be made on the same day and place of the Meeting,
at the time it should be started.
