Under Article 9? and the second paragraph of article 10% of Law N?
18.045 of the Securities Market and in the General Standard N? 30 of the Commission for the
Financial Market, and being “duly empowered to do so, hereby
I allow you to report the following essential fact regarding Granadilla Country Club S.A. (the
“Society”):
As reported by the Company in a notice published on March 20,
2023 in the newspaper El Mercurio of Valparaiso, from March 20 to April 18, 2023, took place
a second placement period with respect to part of the shares issued in the increase of
capital of the Company agreed at the extraordinary shareholders’ meeting held on February 14
of 2022 (the “Board”).
In accordance with the resolutions adopted at the Meeting, the actions to pay the increase in
capital of the Company that were not subscribed in the aforementioned second placement period
(“Remaining Shares”), may be offered by the Board of Directors of the Company to shareholders or to
third parties who express an interest in it. However, the Remaining Shares may not be offered.
to third parties at values lower or on more advantageous terms than those offered to
shareholders of the Company during the respective pre-emptive option period, unless the
offer was made through the Santiago Stock Exchange.
