Dear Sir or Madam:
In accordance with the provisions of Articles 9 and 10 of Law 18,045 on the Securities Market and
duly authorized to do so, I inform you that, on April 13, 2023,
held the Ordinary Shareholders’ Meeting of GASCO INVERSIONES S.A. (hereinafter, the
“Company”), Meeting at which it was agreed as follows:
Approval of the Company’s Annual Report and Financial Statements as of 31
December 2022, duly audited by the external audit firm
PricewaterhouseCoopers, as well as the Report of the External Auditors.
Distribution of a total dividend of $124,320,000 pesos charged to profit
distributable liquid, which if approved will mean the distribution of a dividend
final of $0.74 per share, to be paid effective May 18, 2023 to
shareholders of record at midnight on the fifth business day preceding that date.
Approval of the Company’s General Dividend Policy for the year
2023.
Appointment of the external audit firm PricewaterhouseCoopers for the
Fiscal year 2023.
Designation of the newspaper El Líbero to carry out social publications.
Fixing of the remuneration of the Board of Directors for the year 2023 and account of the
Expenses of the Board of Directors during fiscal year 2022.
Account of related party transactions carried out by the Company
during the period between the last Meeting held on 20 April
2022.
