Ref: communicates summons to Ordinary Shareholders’ Meeting and dividend policy.
Dear Sir or Madam:
Duly authorized, I inform you, as relevant information, that the
Board of Directors of Fruticola Viconto S.A., in a meeting held today, March 21, agreed to summon
Ordinary Shareholders’ Meeting, to be held on Tuesday, April 26, 2023, at 9:45 a.m.
hours, in the offices located at Avenida Apoquindo 3910, 11th floor, Las Condes commune,
Santiago. The matters to be discussed at this Meeting will be the following:
1 Statement on the Annual Report, Balance Sheet and other Financial Statements €
Report of the External Auditors for the year ended 31
December 2022;
2. Distribution of dividends;
3. – Information on the expenses of the Board of Directors during the year 2022;
4. Remuneration of the Board of Directors;
5. – Appointment of External Auditors for the financial year 2023:
6. Information on related party transactions carried out by the company;
7. – Designation of the newspaper for the purposes of publication of the notices of summons to
Shareholders’ Meetings; and
8. – Any other matter of social interest that is not specific to the Extraordinary Meeting of
Shareholders.
Considering that the financial statements showed a loss for the financial year 2022, the
The company is not obliged to distribute dividends, without prejudice to the resolution of the Shareholders’ Meeting
of Shareholders. On dividend policy, the Board agreed to maintain the policy
of dividends from previous years, consisting of distributing 40% of the net profit of the
Fiscal year, subject to CPPITAL investments and cash availability.
