REF: INFORMS AGREEMENTS ORDINARY SHAREHOLDERS’ MEETING
From our consideration:
In accordance with the provisions of article 9% and paragraph 2* of article 10*,
both of Law No. 18,045 on the Securities Market, as well as in the Norm of
General Character No 30 of the Commission for the Financial Market, the undersigned
duly authorized for this purpose, communicates as essential information
with respect to the company Ferrocarril del Pacífico S.A. (the “Company” or the “Company”), the
next:
On April 18, the Ordinary Meeting of
Shareholders of the Company, assisted by shareholders representing a
96.5% of the issued shares with voting rights, adopting the following
agreements:
1.- The Financial Statements and the Annual Report for the year ended on
31 December 2021, including the report of the External Auditors.
2.- The distribution of a final dividend of $0.820035 per share charged
to net profits for 2021. The dividend will be paid from the 29th
of April in progress, to shareholders registered in the Register of Shareholders on the fifth day
prior to that date, that is, on April 22, 2022.
3.- The remuneration of the Board of Directors for the year 2022 was approved.
4.- The expenses of the Board of Directors during the year 2021 were taken into account.
5.- It was agreed to appoint Deloitte Auditores y Consultores Ltda for the year 2022
as external auditors of the Company.
6.- Transactions with related parties were known (Title XVI of
Law No. 18.046 on Corporations).
7.- The dividend policy for 2022 was taken into account.
8.- The digital newspaper El Mostrador was designated to carry out social publications
