Ref. Notification of the Ordinary and Extraordinary Meeting of Contributors
Falcom GTCR Private Equity Fund XII.
Dear Sir or Madam,
Hereby and in compliance with the provisions of Article 18 of Law No. 20,712 and Articles 9 and 10 of Law No. 18,045 of the Securities Market Law, we hereby communicate as an ESSENTIAL FACT of the “Falcom GTCR Private Equity XII Investment Fund” (hereinafter, the “Fund”) the following:
A) At the Ordinary Meeting of Contributors of the Fund held on May 15, 2023, the following matters, among others, were approved:
1) The Fund’s annual account and financial statements for the year ended December 31, 2022;
2) Mr. Hugo Caneo Ormazabal, Mr. Esteban Fernandez Leiva and Mr. Cristobal Cruz Barros were elected as members of the Fund’s Oversight Committee for the 2023 fiscal year, establishing their remuneration and expense budget;
3) Grant Thornton was appointed as the external audit firm for fiscal year 2023; and
4) Asesorías M31 was appointed as independent appraisers for fiscal year 2023.
B) At an Extraordinary Meeting of the Fund’s Contributors also held on May 15, 2023, it was approved to modify the Fund’s internal regulations, in the terms contained in the document that will be deposited together with the consolidated text of the Fund’s internal regulations.
