In compliance with the provisions of Article 9 and second paragraph of Article 10 of Law No. 18,045, on the Securities Market, and General Standard No. 30 of the Commission for the Financial Market (hereinafter, the “CMF”), I come to inform the market in general and the CMF as an ESSENTIAL FACT regarding Falabella S.A. (hereinafter, the “Company”), in order to disclose in a truthful, sufficient and timely manner the essential facts and information relating to it, its businesses and the securities issued by it that are the subject of a public offer, at the time the event has occurred or has come to its knowledge:
Today, August 31, 2022, Ripley Inversiones II S.A. (“Ripley Inversiones”), shareholder of Nuevos Desarrollos S.A. (“Nuevos Desarrollos”), a subsidiary of Plaza S.A. (“Mallplaza”), which is itself a subsidiary of the Company, communicated the exercise of the right to sell its shares in accordance with the shareholders’ agreement between Ripley Inversiones and Plaza Oeste SpA (“Plaza Oeste”), also a subsidiary of Mallplaza and the Company, with respect to their relationships as shareholders of Nuevos Desarrollos. According to this agreement, Plaza Oeste, shareholder that owns 77.5% of the shares of Nuevos Desarrollos, must: i) obtain that a third party buys from Ripley Inversiones the total of its shares in Nuevos Desarrollos, at a price equal to or greater than the company value, applied to the shares that will be sold, corresponding to 22.5% of the shares of Nuevos Desarrollos, value that will consist of the arithmetic average of the values granted for that purpose by two leading banks (the “Company Value”); or ii) buy such shares by itself, at the Company Value applied on the shares to be sold. The sale must be concluded within 30 days following the date on which the Company Value was determined.
Nuevos Desarrollos owns, directly or indirectly through its subsidiaries, the shopping centers Mallplaza Arica (located in the commune of Arica, Region of Arica and Parinacota), Mallplaza Iquique (located in the commune of Iquique, Region of Tarapacá), Mallplaza Copiapó (located in the commune of Copiapó, Atacama Region), Mallplaza Los Dominicos (located in the commune of Las Condes, Metropolitan Region), Mallplaza Egaña (located in the commune of La Reina, Metropolitan Region), Mallplaza Alameda (located in the commune of Estación Central, Metropolitan Region), Mallplaza Sur (located in the commune of San Bernardo, Metropolitan Region) and Mallplaza Bío-Bío (located in the commune of Concepción, Bío Bío Region).
