In compliance with the provisions of Article 9 and paragraph 2 of Article 10 of Law No. 18,045,
Securities Market, and in General Standard No. 30 of the Commission for the Financial Market (in
hereafter, the “CMF”), duly empowered for this purpose, I come to inform the market in general and
to the CMF as an ESSENTIAL FACT relating to Falabella S.A. (hereinafter, the “Company”), for the purpose of
to disclose in a truthful, sufficient and timely manner the essential facts and information relating thereto, its
business and securities issued by it that are the subject of a public offer, at the time the event
has occurred or has come to your knowledge:
As of today, the Company made two placements of dematerialized and bearer bonds in the market
local, charged to the 10-year lines, registered in the Securities Registry of the CMF under numbers 859 and 858,
both dated July 5, 2017, as follows:
– Series AD bonds, issued under bond line No. 859, in the amount of UF 3,000,000 (three
million Development Units), maturing on August 1, 2031. The interest rate of
placement was UF plus 2.81%.
– Series AG bonds, issued under bond line No. 858, in the amount of UF 1,000,000 (one
million Development Units), maturing on August 1, 2028. The interest rate of
placement was UF plus 2.69%.
The proceeds from the placement of the AD Series Notes and the AG Series Bonds will be used in its
full refinancing of the Company’s short- and long-term liabilities, the financing of its
investments and other corporate purposes of the Company and/or its subsidiaries.
Banchile Corredores de Bolsa S.A. and Scotia Corredora de Bolsa Chile acted as placement agents.
