Dear Sir or Madam:
According to the provisions of article 9? and second paragraph of the article
10% of Law 18,045 on the Securities Market. in relation to the provisions of the
General Rule N* 30 of the Commission for the Financial Market and
duly authorized for this purpose, I inform you of the following Essential Fact which reads
relationship with securities issued by Factotal S.A.
1) On January 18, 2023, following an administrative alarm
internally, the company ordered an immediate audit of certain operations of
factoring held at the branch of the city of Concepción, which demonstrated the
commission of illicit acts in commercial operations, which were confessed by the
workers involved.
2) Before this confession. The company decided to immediately disassociate the
officials involved and handed over all background information in the hands of their lawyers,
for the immediate filing of appropriate criminal and civil proceedings,
against the persons who are responsible.
(3) As a result of the internal audit, it is possible to establish that the
Unlawful acts committed will produce a lower result effect of the 2022 business year
of approximately $3.000.000.000.-
The described situation has no effect on the payment of bonuses,
effects of trade or other financial obligations of the enterprise and also
breach covenants associated with them.
