In compliance with the provisions of article 9 of DFL 251 of 1931, articles 9 and 10 of the
Law N*18.045, and Circulars N*991, 662 and 2010 issued by this Commission for the Market
Financier, duly authorized and on behalf of the company Everest Company of
Seguros Generales Chile S.A. (the “Company”), hereby inform you of the following:
1. On March 30, 2023, the beginning of the
Preferential subscription period of payment shares, due to the increase in
capital of the Company agreed at the Extraordinary Shareholders’ Meeting dated 8
of March 2023, and the meeting of the Board of Directors of the Company held on March 23, 2023
March 2023.
2. On March 30, 2023, the shareholders of the company informed the
Company decision to exercise its preferred subscription option of such
actions.
3. By private instrument dated March 30, 2023, the Company and the shareholder
Everest Re Group, Ltd. entered into a Share Subscription Agreement under the
the latter subscribed 559 shares for an amount of CLP $2,035,359,000.
Likewise, by private instrument dated March 30, 2023, the Company and the
shareholder Everest Re Advisors, Ltd. signed a Share Subscription Agreement
under which the latter subscribed 537 shares for an amount of CLP
$1,955,541,000.
