From our consideration,
In compliance with the provisions of article 9 of DFL 251 of 1931, articles 9 and 10 of the
Law N*18.045, and Circulars N*991, 662 and 2010 issued by this Commission for the Market
Financier, duly authorized and on behalf of the company Everest Company of
Seguros Generales Chile S.A. (the “Company”), hereby inform you of the following:
1. On July 30, 2022, the beginning of the
Preferential subscription period of payment shares, due to the increase in
capital of the Company agreed at the Extraordinary Shareholders’ Meeting on 20
of June 2022, and the meeting of the Board of Directors of the Company held on June 25, 2022
July 2022.
2. By means of two communications from the shareholders to the Company sent on 30
of July 2022, they informed the Company of the exercise of the option to
Preferential subscription of such shares.
3. By private instrument dated July 30, 2022, the Company and the shareholder
Everest Re Group, Ltd. entered into a Share Subscription Agreement under the
the latter subscribed 2,146 shares for an amount of CLP 7,815,176,250.
Likewise, by private instrument dated July 30, 2022, the Company and the
shareholder Everest Re Advisors, Ltd. signed a Share Subscription Agreement
under which the latter subscribed 2,062 shares for an amount of CLP
7.508.698.750.
It is established in both instruments that the shareholders subscribed and paid the total
of the actions in the same act.
