From our consideration,
In compliance with the provisions of article 9 of DFL 251 of 1931, articles 9 and 10 of the Law
N*18.045, and in Circulars N*991, 662 and 2010 issued by this Commission for the Market
Financier, duly authorized and on behalf of the company Everest Company of
Seguros Generales Chile S.A., I come to communicate as an ESSENTIAL FACT, that in session
of the Board of Directors of the Company held on July 25, 2022, it was agreed, among others,
subjects, the following:
1. Issue and place 4,208 new payment shares, ordinary, nominative, of a single series,
without nominal value, of equal value each, on the occasion of the agreed capital increase
at the Company’s Extraordinary Shareholders’ Meeting held on 20 June
of 2022, in the sum of CLP $3,641,605 per share.
2. Offer the new shares of preferential payment to the shareholders of the Company
in proportion to those they hold registered in their name in the Register of Shareholders of the
Company, on the fifth business day preceding the date of publication of the notice initiating the
Preferential option period, for a term of 30 calendar days counted from the beginning
of that period.
Shares not subscribed by shareholders or their assignees entitled to
them, and the actions that have their origin in fractions produced in the apportionment between
Shareholders may be offered to shareholders or third parties, at the opportunities and
Amounts that the Board deems appropriate.
3. Publish today, July 25, 2022, in the electronic newspaper El Mostrador, the
notice required pursuant to Article 10 of the Corporations Regulations.
4. Publish on July 30, 2022, in the electronic newspaper El Mostrador, the notice to
referred to in Article 26 of the Regulations of Corporations, informing the start
of the preferential subscription period of the payment shares.
