Dear Sir or Madam:
In accordance with the provisions of articles 9, paragraph 2 and 10 of the law
N*18.045, General Standard N*30, and specially empowered by the Board of Directors for this purpose, I inform you.
The following essential fact:
Proposed distribution of final dividends for the year 2022.
The Board of Directors of ESVAL S.A, in ordinary session held on the day of
yesterday agreed, unanimously of the attendees, to propose to the Ordinary Meeting of Shareholders to be held on
April 21, 2023 the distribution of a final dividend of $0.000585 for each Company share charged
to the net profit of the year ended December 31, 2022 and which corresponds approximately
100% of the profit of the aforementioned year; and a contingent dividend of $0.001325 per share, charged to
Undistributed earnings from prior periods.
The total amount to be distributed will therefore be $0.00191 for each
share of the Company, equivalent to approximately $28,577,947,802.-
If the proposed final dividend is approved by the Shareholders’ Meeting, it will be proposed
that it be paid as of April 28, 2023 to the shareholders registered in the respective registry to the
midnight on the fifth business day preceding that date, that is, April 22, 2023.
