Ref.: Summons to Ordinary Shareholders’ Meeting.
Dear Sir or Madam:
Pursuant to the provisions of art. 9? and second paragraph of Art. 10% of Law N*18,045 and the
General Character N93o, and being duly authorized, I inform that the Board of Directors of Essbio S.A., in
session held on March 2023, agreed to call the Ordinary Shareholders’ Meeting, which will take place
on April 21, 2023.
Regarding the profits for the year 2022, which amounted to $7,149,095,715, the Board of Directors agreed to
propose to the Ordinary Shareholders’ Meeting to distribute 100% of them, that is, the sum of
$7,149,095,715, an amount comprising both the minimum statutory and statutory dividend and a
additional dividend and, accordingly, pay a dividend of $0.27033 per share, setting for payment
on April 28, 2023.
The matters to be discussed at the Meeting will be the following:
i. To pronounce on the Annual Report, balance sheet, annual financial statements and reports of the
External Auditors for the year ended December 31, 2022;
li. Resolve about distribution of profits for the year and distribution policy of
Dividends;
iii, Determination of directors’ remuneration;
iv. Appointment of External Auditors and Risk Rating Agencies;
v. Report on Board of Directors agreements related to related operations;
vi. Designation of newspaper for publication of notices, and
vii. To take cognizance of all matters within the competence of the Ordinary Shareholders’ Meeting and
adopt the corresponding agreements.
I note that the Annual Report and other required background information will be made available to
the shareholders in a timely manner and will be available in the “Investors” section of our
Website www.essbio.cl.
