Dear Sir or Madam:
By means of the present, duly authorized to this effect and by virtue of the provisions of Articles 9 and 10 of Law No. 18,045 on the Securities Market and General Standard No. 30 of the Commission for the Financial Market (the “CMF”), I inform as an essential fact with respect to Enjoy S.A. and its securities (hereinafter, “Enjoy”) the following:
– On January 13, 2022, Enjoy and Dreams S.A. (“Dreams”) entered into an English-language agreement called the “Merger Agreement”, under which they agreed to combine their businesses through a merger.
– The closing of the merger was subject to the satisfaction of a number of conditions, the last of which had to be met on or before July 13, 2023.
– The parties have agreed not to persevere in the business combination and, by mutual agreement, have terminated the “Merger Agreement”.
At this date it is not possible to determine the effects that the information may have on the assets, liabilities or results of Enjoy.
Enjoy will keep your Commission duly informed of any relevant developments that occur in relation to the facts it reveals.
