From our consideration:
Under Article 9? and 10? of Law No. 18.045 on the Securities Market and
in General Standard No. 30 of the Commission for the Financial Market, on behalf of
of the company Energía Latina S.A. (the “Company”) and duly authorized to do so, I inform you,
as an essential fact with respect to the Company and its business, that:
On this date, Sociedad y Empresas Gasco S.A. (“Gasco”) have signed an instrument
referred to as the “Master Share Sale Agreement” (the “Master Agreement”), under which, and
With this same date:
(1) The Company and Gasco entered into a share purchase agreement under the
which, the Company sold and transferred to Gasco, who bought and acquired for himself, 54,550
shares owned by Sociedad en Innovación Energía S.A., representing the
50% of the share capital of said company, in the price of US$15,606,999.-. In
Consequently, Energía Latina S.A. has ceased to have an ownership interest in
Innovación Energía S.A.; and
(ii) The Company and Gasco entered into a share purchase agreement under the
which, the Company sold and transferred to Gasco, who bought and acquired for himself, 9,827
shares owned by the Company in the company Terminal Gas Caldera S.A.,
representing 50% of the share capital of said company, at the price of
US$1,965,400. As a result, Energía Latina S.A. has ceased to have a stake in
on the property of Terminal Gas Caldera S.A.
It is estimated that the conclusion of the aforementioned sales will have a positive effect on the result
financial of the Company. The company will determine precisely that effect on the occasion of the

applicable.
It is hereby stated that, by virtue of this essential fact and in accordance with the provisions of the

2022.
