Dear Sir or Madam:
In accordance with the provisions of articles 9 and 10, second paragraph, of Law 18,045, on
Securities Market and the provisions of General Rule No. 30, of the Commission for the
Financial Market, and in exercise of the powers conferred on me, I inform you with character
of Essential Fact that all the authorizations to which the
commercial agreement with Shell Global Energy Limited, Singapore Branch, which was
communicated by Enel Generación Chile S.A., through Essential Event No. 33 dated 25.11.2022.
In effect, all the corporate authorizations of the parties were obtained, for the modification of the
LNG Sale and Purchase Agreement, dated July 26, 2013 (the Fifth)
LNG SPA), consisting mainly of accepting the reduction in volumes committed by the
supplier with respect to Enel Generación Chile, for the remainder of the term of the contract,
maintaining the same level of costs and mitigating the volatility of the price formula. Stands out
that the reduction of gas quantities is on a portion that is projected to be surplus for the
compliance with the commitments adopted by Enel Generación Chile.
The modifications referred to above materialized in a contract between Enel
Generación Chile and Shell, signed today, on December 19, 2022. In accordance with that
contract, Shell agrees to pay the total sum of USD 520 million, to be paid and
will be recorded in full as operating income for the year 2022, generating a positive effect on
the Company’s consolidated net income of approximately USD 380 million.
