Dear Sir or Madam:
In compliance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Securities Market and the provisions of General Rule No. 30 of this Commission, duly authorized and on behalf of ENEL CHILE S.A. (“Enel Chile” or the “Company”), I come to inform you, as an essential fact, that the Board of Directors of the Company has taken cognizance of the Essential Fact issued by its subsidiary Enel Generación Chile S.A. (“Enel Generación Chile”), informing that all the authorizations to which the commercial agreement with the company Shell Global Energy Limited, Singapore Branch (“Shell”) was subject, which was communicated by means of an Essential Fact issued by the Company on November 25, 2022, have been obtained.
As reported by our subsidiary, all corporate authorizations were obtained from the parties for the modification of the contract called LNG Sale and Purchase Agreement, dated July 26, 2013 (the Fifth LNG SPA), consisting mainly of the partial disposition of certain volumes of LNG, which are projected as surplus to the fulfillment of the commitments already acquired by Enel Generación Chile.
The modifications referred to above materialized in a direct contract between Enel Generación Chile and Shell, which was signed today, December 19, 2022. In accordance with this contract, Shell was obliged to pay the subsidiary the total sum of USD 520 million, an amount that will be paid and recorded in full as operating income for the year 2022, generating a positive effect on the consolidated net result in its parent company, Enel Chile, of approximately USD 355 million.
